Terms of Service

1. Who can use Swagloop

Swagloop is a B2B service. You may use it only if you are at least 18 years old, are placing orders in the course of business (not as a consumer), and are authorised to bind the company on whose behalf you transact. Minimum order quantity is 25 units per SKU; the platform is not intended for single-unit retail purchases.

2. Your account

You are responsible for the accuracy of the information in your account and for keeping your login credentials secure. Notify us immediately at hello@swagloop.com if you suspect unauthorised access. We may suspend or terminate accounts that we reasonably believe are being used in breach of these terms.

3. Orders, lead time, and payment

• Minimum order quantity: 25 units per SKU.
• Lead time: 12–14 working days from the date of order confirmation, subject to artwork approval and stock availability.
• Payment: 100% upfront before dispatch. Card, UPI, and NEFT/RTGS are supported through our payment partners.
• Invoice: GST-compliant tax invoice is issued against a valid GSTIN supplied at the time of order.

An order is treated as confirmed only after payment is realised and artwork (where applicable) is approved in writing. We may decline or cancel an order if the brief cannot be fulfilled within the published constraints.

4. Pricing, GST, and taxes

Prices on the platform are in Indian Rupees and exclusive of GST unless stated otherwise. The applicable GST rate, HSN code, shipping, and any statutory charges will be shown at checkout and on the final invoice. We may revise prices at any time before an order is confirmed.

5. Customisation, artwork, and intellectual property

For branded items you confirm that you own, or are licensed to use, every logo, mark, image, slogan, and other content you upload (“your content”), and that its use on the products does not infringe any third-party rights. You grant us a limited licence to reproduce your content solely for the purpose of producing and shipping your order.

You indemnify Swagloop against any claim by a third party arising from your content. We may refuse to print artwork that we reasonably believe is unlawful, defamatory, or infringing.

6. Shipping and delivery

We ship pan-India through registered courier partners. Risk in the goods passes to you on dispatch. Delivery dates are estimates; while we meet our published lead time on the large majority of orders, we are not liable for delays caused by courier networks, force majeure, or incorrect delivery information supplied by you.

7. Cancellation, returns, and damage

• Cancellation: You may cancel without charge until the point at which we approve artwork and release the order to production. Once in production, the order cannot be cancelled, as customised branded merchandise has no resale value.
• Damage in transit: Report any visible damage within 48 hours of delivery, with photographs of the carton and the affected units. We will replace damaged units at no charge, subject to verification.
• Manufacturing defects: Report within seven days of delivery. Verified defects are replaced or refunded.
• No returns of correctly produced custom goods. Custom branded merchandise produced to your approved artwork is not returnable for change of mind.

8. AI Curated Packs

AI Curated Packs are recommendations generated from your brief over our product catalog. They are provided as a starting point, not as professional advice. You remain responsible for reviewing the pack and confirming the order. We do not guarantee that any specific pack will be suitable for a given recipient, audience, or use case.

9. Platform IP and acceptable use

The Swagloop platform, including all software, photography, copy, and the AI Pack engine, is owned by Swagloop Ventures and protected under Indian copyright and trademark law. You may not scrape, reverse-engineer, resell, or use the platform to build a competing product. You may not upload content that is unlawful, infringing, malicious, or designed to disrupt the platform.

10. Limitation of liability

To the maximum extent permitted by Indian law, Swagloop’s aggregate liability for any claim arising out of or relating to an order is limited to the amounts paid by you for that order. We will not be liable for any indirect, consequential, or loss-of-profit damages. Nothing in these terms limits liability that cannot be excluded under applicable law.

11. Force majeure

Neither party is liable for failure or delay caused by events outside its reasonable control, including natural disasters, strikes, courier network outages, public-health restrictions, government action, or infrastructure failure.

12. Privacy

Our handling of personal data is governed by our Privacy Policy, which forms part of these terms.

13. Governing law and jurisdiction

These terms are governed by the laws of India. Any dispute will be subject to the exclusive jurisdiction of the courts at Delhi.

14. Changes to these terms

We may update these terms from time to time. The version in force at the time of your order is the version that applies to that order. Material changes will be notified by email and on this page.
